Amendment One <br />[1Life Order Schedule – Enterprise Benefit Offering] <br />WHEREAS, City of Redwood City, a charter city and municipal corporation of the State of California <br />(“Customer”) has entered into a 1Life Order Schedule – Enterprise Benefit Offering, effective on or around <br />December 2, 2021 (the “Agreement”) with 1Life Healthcare Inc. (“1Life”); and <br />WHEREAS, Customer now wishes to amend and supplement the Agreement as set forth in this <br />Amendment One, including any Exhibits hereto (collectively, this “Amendment”) to purchase or otherwise <br />obtain access to additional offerings under the Agreement; and <br />NOW THEREFORE, in consideration of the mutual promises and benefits made and contained <br />herein, the receipt and sufficiency of which are hereby acknowledged, the parties hereby acknowledge <br />and agree as follows: <br />1. Customer shall have access to Lucira Covid-19 All-In-One Test Kits as set forth in Exhibit 1 under <br />the terms of the Agreement and this Amendment. <br />2. Customer shall pay 1Life an amount not to exceed $33,573 for the completion of all services <br />described in the attached Exhibit 1, which sum shall include all costs and/or expenses incurred by <br />1Life. The total amount payable under the Agreement will be an amount not to exceed $99,999. <br />Capitalized terms used herein and not otherwise defined shall have the meanings set forth in the <br />Agreement. In the event of any conflict between this Amendment and the Agreement, this Amendment <br />controls as to the terms contained herein.
