Confidential Information REV: 11-16-2021 MI (available at https://www.onemedical.com/business/terms/a copy of which is attached hereto as Exhibit 3 and which are expressly incorporated into this Agreement by reference as though fully set forth herein). Customer may accept the Agreement by signing this Order Schedule below. The Effective Date of this Order Schedule and the Agreement is the date of the last signature below. Acceptance of this Order Schedule indicates that Customer has reviewed the terms of the Agreement and expressly agrees to these terms as of the Effective Date. In interpreting this Agreement, (1) this Order Schedule, (2) the 1Life Enterprise Terms referenced above and (3) any other documents or terms separately agreed by the parties shall take precedence in that order in the event of a conflict, to the extent of the conflict. No term or condition contained in a purchase order or similar document will apply unless specifically agreed to by the parties in writing. This Order Schedule will remain in effect until all subscriptions ordered under this Order Schedule have expired or have been terminated. During the term of this Agreement and thereafter 1Life reserves the right to change or alter the service offerings or pricing of any services listed on this Agreement but not selected by Customer. This Agreement may be executed and delivered in counterparts, including electronically, each of which shall be an original, and both of which together shall constitute one instrument. 7. Insurance 1Life will obtain and maintain for the duration of the Agreement insurance as provided in Exhibit 4, which is attached and incorporated by reference herein. 8. General Compliance with Laws 1Life will exercise commercially reasonable efforts to keep informed of federal, state and local laws and ordinances and regulations related to the performance of the services hereunder by 1Life. 1Life will at all times comply with these laws, ordinances, and regulations. 9. Discrimination and Harassment Prohibited 1Life will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. 10. Claims and Lawsuits 1Life acknowledges that if a false claim is submitted to Customer by 1Life, 1Life may be subject to criminal prosecution for fraud. 1Life also acknowledges that California Government Code sections 12650 et seq. (the False Claims Act), as amended, applies to this Agreement and provides for civil penalties where a person knowingly submits a false claim to a public entity. These provisions include false claims made with deliberate ignorance of the false information or in reckless disregard of the truth or falsity of information. If Customer seeks to recover penalties pursuant to the False Claims Act, it is entitled to recover its litigation costs, including attorney's fees. 1Life acknowledges that the filing of a false claim may subject 1Life to an administrative debarment proceeding. As a result of such proceeding, 1Life may be prevented to act as a vendor on any public work or improvement for a period of up to five (5) years. 1Life acknowledges that disbarment by another jurisdiction is grounds for Customer to terminate this Agreement. 11. Jurisdiction and Venue Any action at law or in equity brought by either of the parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Mateo, State of California. The parties waive all provisions of law providing for a change of venue in these proceedings to any other county. 12. Successors and Assigns This Agreement will be binding upon the parties and their respective successors and assigns. 13.Electronic Signatures. If all parties agree, electronic signatures may be used in place of original signatures on this Agreement. Each party intends to be bound by the signatures on the electronic document, is aware that the other parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Agreement based on the use of an electronic signature.
