REV: 01-09-24 SK AMENDMENT NO. 3 TO AGREEMENT FOR SERVICES CSG Consultants, Inc. This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as of ____________________, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and CSG Consultants, Inc., a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Professional Services – CSG Consultants, Inc., dated as of December 14, 2021, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of July 12, 2022 and Amendment No. 2 to the Original Agreement (“Amendment No. 2”), dated as of July 7, 2023 (the Original Agreement and Amendments No. 1 and No. 2 are collectively known as the “Agreement”). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 3. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Consultant a not-to-exceed amount of Five Hundred Thousand Dollars ($500,000) for the completion of all the services described in Exhibit “A” to the Original Agreement, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 3, the total amount payable under the Agreement will be a not-to-exceed amount of One Million, Five Hundred Thousand Dollars ($1,500,000), payable as set forth in Exhibit “B” of Amendment No. 2. 2. Unless terminated earlier, the term of this Amendment No. 3 will be a period of six months from the effective date of this Amendment No. 3. Including all amendments, through Amendment No. 3, the total term of this Agreement is three years and one month from the Effective Date of the Original Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 3. 5. The individuals executing this Amendment No. 3 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 3.
