REV: 05-25-22 RL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES H2O Solutions, L.L.C. This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of July 1, 2022, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and H2O Solutions, L.L.C., a Washington limited liability company (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of December 14, 2021 (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of Fifty-Six Thousand Six Hundred Fifty Dollars ($56,650) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Eighty-Two Thousand Nine Hundred Seventy-Five Dollars ($82,975). 2. Unless terminated earlier, the term of this Amendment No. 1 will be a period of two years from the effective date of this Amendment No. 1. Including all amendments, through Amendment No. 1, the total term of this Agreement is approximately two years and six and a half months from the Effective Date of this Agreement. 3. Contractor will complete all work described in Exhibit “A” by June 30, 2024, provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 4. All other provisions of the Agreement will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 1. 6. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of each Party represent and warrant that they have the legal power, right and actual authority to bind the Parties to the terms and conditions of this Amendment No. 1.
