are not timely satisfied or, if such Conditions Precedent are satisfied, the City's acceptance of the <br />Levee Improvements following SCOA's satisfactory completion thereof. City Costs will be <br />included in both the Final Design and Construction Budget and the Final Project Costs. <br />12. Awarding Design and Construction Contracts. City has the right but not the <br />duty to participate in SCOA's selection process for retaining consultants and the General <br />Contractor to design and construct the Levee Improvements. SCOA has provided City with the <br />qualifications of SCOA's design and proposed construction management team(s) for the Levee <br />Improvements, including SCOA's civil engineer and all other design professionals performing <br />work related to design of the Levee Improvements, and the Designated City Official has <br />approved the following firms: <br />BKF Engineers - Surveyors - Planners (Civil Engineers, Planners & Project <br />Administrators); <br />Moffat & Nichol Engineers (Coastal Engineering and FEMA expertise); <br />ENGEO (Geotechnical Services); <br />Huffman Broadway Group, Inc. (Environmental Assessment and Agency Processing); <br />and <br />Cornerstone Structural Engineering Group (Structural Design). <br />The following contracting and bidding procedures will apply to all construction activity <br />relating to the Levee Improvements: <br />(a) Prior to or upon City's adoption of the CFD formation resolution described in <br />Section 4(a), SCOA will prepare and submit to the Designated City Official for review and <br />comment in the report(s) therein described a bid package that includes: (i) bidding and <br />procurement information describing the time, place and conditions of competitive bidding, <br />including bidding or proposal forms; (ii) the list of proposed bid package recipients; (iii) the <br />form of bid notice; (iv) the form of agreement between SCOA and General Contractor; (v) the <br />conditions of the contract for construction (general, supplementary and other conditions) and <br />general requirements (if any); (vi) bond forms (performance, labor and materials, and warranty); <br />(vii) a statement of bidder qualifications; and (viii) such other items as may be reasonably <br />requested by City. The Designated City Official will, within a reasonable time period, and in no <br />event more than ten (10) days from receipt of the items listed in the immediately preceding <br />sentence (and in the event the Designated City Official fails to respond within such 10- day time <br />period, the SCOA shall be entitled to an extension of time as set forth in Section 25(a) below), <br />respond with any comments, SCOA will endeavor to address all such comments and will <br />incorporate the Designated City Official's reasonable proposed changes in the bid package <br />documents, and the SCOA and Designated City Official will confirm in writing their mutual <br />approval of the final bid package documents to be submitted to City with the report(s). The final <br />bid package documents as approved by City shall be referred to as the "Final Bid Package <br />Documents". Accordingly, upon establishment of the Final Bid Package Documents, the Parties <br />agree to affix the Final Bid Package Documents to this Agreement as Exhibit I. <br />(b) Prior to proceeding as specified in Subsection 12(c) below, (i) SCOA will have <br />obtained all land use entitlements, permits and licenses as provided in Section 7, except that the <br />OAK 44819-4834-1908 v20 18 <br />
