(b) IndemnitX by HCP or Met Life. Met Life or HCP each severally and only with <br />respect to Claims arising from their respective negligence, or the negligence of their respective <br />employees, contractors and agents, shall indemnify, defend and hold harmless the City Parties <br />from and against any and all Claims arising directly or indirectly from the approval or <br />implementation of this Agreement, including the proposed formation of the CFD, and <br />performance of the Levee Improvements work, whether by SCOA or its contractors, <br />subcontractors, employees, agents or representatives. <br />(c) Notwithstanding anything to the contrary contained above, in no event shall <br />SCOA, Met Life or HCP have any obligation to indemnify the City Parties to the extent such <br />Claims arise from City Parties' sole negligence or willful misconduct. <br />19. Insurance. <br />Prior to commencing any of the Levee Improvements work, SCOA shall, or cause its <br />General Contractor to, obtain and maintain in full force and effect during the term of this <br />Agreement, at SCOA's own expense and risk, Worker's Compensation, a general commercial <br />liability insurance policy, and non -owned, and hired automobile liability insurance. The <br />minimum amounts of coverage corresponding to the aforesaid categories of insurance per <br />insurable event shall be as follows: <br />Insurance Cate or <br />Minimum Limits <br />Workers' Compensation <br />Statutory minimum. <br />Employer's Liability <br />$1,000,000.00 per accident for bodily injury or disease. <br />Commercial General Liability <br />$2,000,000.00 per occurrence, $5,000,000.00 aggregat <br />for bodily injury, personal injury and property damage. <br />Automobile Liability <br />$2,000,000.00 per occurrence for bodily injury an <br />property damage (coverage required to the exte <br />applicable to Contractor's vehicle usage in performin <br />work hereunder). <br />(a) Any deductibles or self-insured retentions must be declared to, and approved by <br />City, which approval will not be unreasonably withheld. At the option of City, SCOA's insurer <br />shall reduce or eliminate the deductibles or self-insured retentions with respect to City, it's <br />Council, commissions, boards, committees, officers, employees and agents or SCOA shall <br />procure a bond guaranteeing payment of losses and related investigations, claim administration <br />and defense expenses. <br />(b) Prior to commencing any Levee Improvements work, SCOA shall furnish City <br />with certificates and copies of information or declaration pages of the insurance required <br />OAK #4819-4834-1908 v20 24 <br />
