(b) IndemnitX by HCP or Met Life. Met Life or HCP each severally and only with respect to Claims arising from their respective negligence, or the negligence of their respective employees, contractors and agents, shall indemnify, defend and hold harmless the City Parties from and against any and all Claims arising directly or indirectly from the approval or implementation of this Agreement, including the proposed formation of the CFD, and performance of the Levee Improvements work, whether by SCOA or its contractors, subcontractors, employees, agents or representatives. (c) Notwithstanding anything to the contrary contained above, in no event shall SCOA, Met Life or HCP have any obligation to indemnify the City Parties to the extent such Claims arise from City Parties' sole negligence or willful misconduct. 19. Insurance. Prior to commencing any of the Levee Improvements work, SCOA shall, or cause its General Contractor to, obtain and maintain in full force and effect during the term of this Agreement, at SCOA's own expense and risk, Worker's Compensation, a general commercial liability insurance policy, and non -owned, and hired automobile liability insurance. The minimum amounts of coverage corresponding to the aforesaid categories of insurance per insurable event shall be as follows: Insurance Cate or Minimum Limits Workers' Compensation Statutory minimum. Employer's Liability $1,000,000.00 per accident for bodily injury or disease. Commercial General Liability $2,000,000.00 per occurrence, $5,000,000.00 aggregat for bodily injury, personal injury and property damage. Automobile Liability $2,000,000.00 per occurrence for bodily injury an property damage (coverage required to the exte applicable to Contractor's vehicle usage in performin work hereunder). (a) Any deductibles or self-insured retentions must be declared to, and approved by City, which approval will not be unreasonably withheld. At the option of City, SCOA's insurer shall reduce or eliminate the deductibles or self-insured retentions with respect to City, it's Council, commissions, boards, committees, officers, employees and agents or SCOA shall procure a bond guaranteeing payment of losses and related investigations, claim administration and defense expenses.
