Any Party may modify its contact information by email notice to you and the other Parties. A <br />requirement in these Joint Escrow Instructions that notification must be "in writing" includes <br />email notification. <br />HCP and MetLife shall pay all escrow and title fees in the Escrow, including without limitation <br />escrow fees, recording fees, transfer taxes (if any), and title insurance premiums. You are <br />requested and instructed to allocate the escrow and title fees equally between HCP and MetLife. <br />Because City is a political subdivision of the State of California, it is a tax-exempt entity and, <br />therefore, real property taxes, bonds and assessments that are a lien customarily paid with real <br />property taxes (if any) shall not be prorated in the Escrow. <br />These Joint Escrow Instructions are the joint instructions of the Parties, and have been reviewed <br />and approved by the Parties' counsel. Notwithstanding anything to the contrary herein, these <br />Joint Escrow Instructions may not be modified unless you receive additional written instructions <br />from the parties hereto. <br />Escrow Holder will receive a counterpart of these Joint Escrow Instructions executed by legal <br />counsel representing each of the Parties indicating that the respective Parties consent to and join <br />in these Joint Escrow Instructions.
