REV: 3-17-23 RL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (Turbo Data Systems, Inc.) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of __________________________, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Turbo Data Systems, Inc., a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement between the City of Redwood City and Turbo Data Systems, Inc, dated as of January 28, 2022, (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Contractor will provide equipment leasing as set forth in Exhibit “A” to this Amendment No. 1 and such services will be considered part of the Services for purposes of the Agreement. The cost for such equipment leasing as set forth in Exhibit “A” to this Amendment No. 1 will supersede and replace the costs for such equipment leasing as described in the second table of Section 3 of Exhibit B to the Agreement. 2. City will pay Contractor a not-to-exceed amount of One Hundred Sixty Two Thousand Eight Hundred Fifty Three (162,853.00) for the costs of equipment leasing as described in Exhibit “A” to this Amendment No. 1, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of Three Hundred Thirty Seven Thousand Eight Hundred Fifty Three Dollars ($337,853.00). 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of the Parties each represent and warrant that they have the legal power, right and actual authority to bind their Party to the terms and conditions of this Amendment No. 1.
