REV: 09-13-2022 MI <br />AMENDMENT NO. 1 <br />TO AGREEMENT FOR SERVICES <br /> Bayside Heating & Air Conditioning, Inc. dba CP Mechanical <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of _________________, 2022 by and between the City of Redwood City, a charter city <br />and municipal corporation of the State of California (“City”), and Bayside Heating & Air <br />Conditioning, Inc. dba CP Mechanical, a California corporation (“Contractor”) (collectively, <br />the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of February 24, 2022, (the “Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Contractor a not-to-exceed amount of Fifty Thousand Dollars <br />($50,000) for the completion of additional services described in the Agreement, which <br />sum will include all costs or expenses incurred by Contractor. Including Amendment No. <br />1, the total amount payable under the Agreement will be a not-to-exceed amount of One <br />Hundred Fifty Thousand Dollars ($150,000). <br /> <br />2. The City Manager may amend the Agreement to extend it for two additional <br />two-year periods in an amount not to exceed Three Hundred Thousand Dollars <br />($300,000) per extension term. Any extension will require a written amendment executed <br />by both parties indicating the effective date and length of the extended Agreement. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Contractor pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />5. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Contractor each represent and warrant that they have the <br />legal power, right and actual authority to bind Contractor to the terms and conditions of <br />this Amendment No. 1. <br />6. If all Parties agree, electronic signatures may be used in place of original <br />signatures on this Amendment No. 1. Each Party intends to be bound by the signatures <br />on the electronic document, is aware that the other Parties will rely on the electronic <br />signatures, and hereby waives any defenses to the enforcement of the terms of this <br />Amendment No. 1 based on the use of an electronic signature.
