REV: 09-13-2022 MI AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES Bayside Heating & Air Conditioning, Inc. dba CP Mechanical This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________________, 2022 by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Bayside Heating & Air Conditioning, Inc. dba CP Mechanical, a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of February 24, 2022, (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of Fifty Thousand Dollars ($50,000) for the completion of additional services described in the Agreement, which sum will include all costs or expenses incurred by Contractor. Including Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed amount of One Hundred Fifty Thousand Dollars ($150,000). 2. The City Manager may amend the Agreement to extend it for two additional two-year periods in an amount not to exceed Three Hundred Thousand Dollars ($300,000) per extension term. Any extension will require a written amendment executed by both parties indicating the effective date and length of the extended Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Amendment No. 1. 6. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No. 1. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Amendment No. 1 based on the use of an electronic signature. After all Parties agree to the use of electronic signatures, all Parties must sign the document electronically.
