REV: 02-24-2022 RL <br />Within 60 days after the Grant funds are fully spent or otherwise distributed, please <br />submit to Grantee by email (fiscalsponsorship@communityin.org) a very brief description of how <br />the Grant funds were used and confirm that (1) the Grant funds were used in furtherance of the <br />Grant Purpose, (2) the Grant was not used in violation of this Grant Letter, and (3) no changes <br />have occurred to Grantee’s tax-exempt status or classification as other than a private foundation <br />under IRC Sections 509(a)(1) and 170(b)(1)(A)(vi) since the date of this Grant Letter. Grantee <br />should also keep a record of all receipts and expenditures relating to the Grant for four years and <br />make such records available to CI, if CI so requests, for review at reasonable times. <br />CI reserves the right to require a total or partial return of any portion of the Grant if, in its <br />sole reasonable discretion, it is necessary because Grantee has not fully complied with the terms <br />and conditions of the Grant or this Grant Letter; the purposes and objectives of the Grant have <br />been jeopardized; or the Grant or Grantee’s use of the Grant are not in compliance with the <br />requirements of any law or regulation applicable to Grantee, CI, or the Grant. <br />By depositing the Grant check, Grantee irrevocably and unconditionally agrees to defend, <br />indemnify, and hold harmless CI and its officers, directors, trustees, employees, and agents from <br />and against any and all claims, losses, damages, expenses (including reasonable attorneys’ fees), <br />and liabilities directly, indirectly, wholly, or partially arising from or related to any act or omission <br />of Grantee or its officers, directors, trustees, employees, or agents in applying for or accepting <br />the Grant, in expending or applying the Grant, in furtherance of the Grant Purpose, or in carrying <br />out the program or project to be funded or financed by the Grant. <br />This Grant Letter constitutes the entire agreement with respect to the Grant and <br />supersedes any prior or contemporaneous oral or written agreements, understandings, or <br />communications or past courses of dealing between CI and Grantee with respect to the subject <br />matter hereof. <br />Sincerely, <br />Jose Plascencia <br />Client Services Manager, Community Initiatives <br />ATTY/AGR.2022.046/Community Iniaititives (Bay Area Community Health Advisory Council) (Page 2 of 3)
