The Original Effective Date of the Purchase Agreement is hereby amended to be the Effective Date of this First Amendment and such new Effective Date shall hereinafter be referred to as the “New Effective Date of Purchase Agreement.” Any and all references and timeframes, which relate to and/or flow from the Effective Date in the Purchase Agreement, shall pertain to the New Effective Date of the Purchase Agreement. The New Effective Date of Purchase Agreement has no effect on the Purchase Price, nor the built-in price adjuster, as set forth in Paragraph 2.1 of the Purchase Agreement. 2. The attached “Exhibit E: Amended Schedule of Performance,” hereby replaces and supersedes “Exhibit E: Schedule Performance,” originally attached to the Agreement. Any and all references to Exhibit E in the Agreement shall be with regard to the Amended Schedule of Performance. 3. In the event of any inconsistences between this First Amendment and the Agreement, this First Amendment shall control. 4. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Amendment based on the use of an electronic signature. After all Parties agree to the use of electronic signatures, all Parties must sign the document electronically. [SIGNATURE PAGE FOLLOWS]
