5 <br />ATTY/AGR/2022.014.01/TRI-PARTY AGREEMENT <br />REV: 01-25-2022 VR <br />or cause the construction of the Blomquist — City Segment, and (iii) produce and deliver <br />to City construction and engineering drawings in forms acceptable to City for the entirety <br />of the Blomquist Street Extension, including the Blomquist — Developer Segment and the <br />Blomquist — County Segment.” <br />ARTICLE 3. MISCELLANEOUS <br />Section 3.1 Ratification. Except as expressly modified bythis Second Amendment, the <br />Development Agreement remains in full force and effect. <br />Section 3.2 Effective Date and Recordation. The “Amendment Effective Date” of this <br />Second Amendment shall be the date the Parties execute this Second Amendment, which shall <br />then be recorded in the Official Records of San Mateo County within ten (10) days of the <br />Amendment Effective Date. Notwithstanding the foregoing, this Second Amendment shall be <br />effective (including being recorded) only if the Exchange Closing (as defined in the Tri-Party <br />Implementation Agreement) has occurred, to be conclusively evidenced by the recording of this <br />Second Amendment. <br />Section 3.3 Execution in Counterparts. This Second Amendment may be executed in <br />counterparts, each of which shall for all purposes be deemed to be an original; and all such <br />counterparts shall together constitute one and the same instrument.
