Page 10 of 15 <br />ATTY/AGR/2022.014.08/TRI-PARTY AGREEMENT <br />REV: 01-25-2022 VR <br />2)For all liability policies required above, COUNTY shall cause CITY to be <br />named as a Certificate Holder on Acord-25 Certificates of Insurance that contain language <br />requiring 30 days written notice to CITY in the event of cancellation or material change in <br />any scheduled policy. <br />3)For all property policies required above, COUNTY shall cause CITY to be <br />named as a Certificate Holder on Acord 27 Certificates of Insurance that contain language <br />requiring 30 days written notice to CITY in the event of cancellation or material change in <br />any scheduled policy. <br />4)With regard to the liability insurance policies required above, such <br />insurance policies shall name CITY as an additional insured on endorsements ISO CO 20 <br />10 10 01 and CO 20 37 10 01, or broader, with completed operations coverage. <br />5)Prior to the Commencement Date of the Term, COUNTY shall deliver to <br />City certificates of insurance and additional insured policy endorsements from insurers in <br />a form satisfactory to City, evidencing the coverages required hereunder, together with <br />complete copies of the policies at City's request. In the event COUNTY shall fail to procure <br />such insurance, or to deliver such policies or certificates, City may procure, at its option, <br />the same for the account of COUNTY, and the cost thereof shall be paid to City within five <br />(5) days after delivery to COUNTY of bills therefor <br />6)Should any of the required insurance be provided under a form of <br />coverage that includes a general annual aggregate limit or provides that claims <br />investigation or legal defense costs be included in such general annual aggregate limit, <br />such general aggregate limit shall double the occurrence or claims limits specified above. <br />7)Should any of the required insurance be provided under a claims made <br />form, COUNTY shall maintain such coverage continuously throughout the term of this <br />License and, without lapse, for a period of three (3) years beyond the expiration or <br />termination of this Agreement, to the effect that should any occurrences during the License <br />term give rise to claims made after expiration or termination of the License, such claims <br />shall be covered by such claims-made policies. <br />8)COUNTY mayrelyon a joint self-insurance program to meet the insurance <br />requirements specified in this Agreement <br />9)Either the foregoing insurance must cover acts, omissions and <br />circumstances arising by or through Developer herein, or Developer must provide <br />comparable insurance covering its acts, omissions and circumstances herein. <br />27. Entire Agreement; Severability. This Agreement contains the sole and complete agreement <br />between the parties relating to the License Area and the License. This Agreement may not be changed <br />orally and may be amended only by an agreement in writing signed by both parties. In the event that any <br />provision of this Agreement shall be held to be or become invalid or unenforceable in certain circumstances, <br />the validity and enforceability of the remaining provisions, or such provision in other circumstances, shall <br />not in any way be affected or impaired. <br />28. Notices. Any notice, request, demand, approval or consent given or required to be given under <br />this Agreement shall be in writing and shall be deemed to have been given when mailed by United States <br />registered or certified mail, postage prepaid, return receipt requested, to CITY or COUNTY, as the case <br />may be, at the respective addresses listed below, or may be made by personal service. <br />COUNTY's Address:County of San Mateo <br />400 County Center
