1 |P a g e <br />AT T Y/AGR /2022.014.09/T R I-P AR T YAGR EEM EN T <br />R EV:01-25-2022VR <br />1402 MAPLE STREET SUBLICENSE <br />(County/Developer) <br />THIS SUBLICENSE AGREEMENT (“Agreement”) is dated for convenience January 24, <br />2022, and effective at the effectiveness of the License Agreement (defined below), by and <br />between 1548 MAPLE, LLC, a Delaware limited liability company, as sublicensee <br />(“Sublicensee”) and the COUNTY OF SAN MATEO, a political subdivision of the State of <br />California (“County” or “Licensee”). <br />RECITALS <br />A.The City of Redwood City (“City”)owns that certain undeveloped real property <br />commonly known as 1402 Maple Street, Parcel Number 052-392-590, Redwood City, California <br />("City Property") as depicted in Exhibit "A" attached hereto and incorporated herein by reference. <br />B.On April 16, 2012, CITY and COUNTY executed a License Agreement ("2012 <br />License") pursuant to which COUNTY uses a portion of the City Property for construction storage <br />and staging activities in connection with development of the adjacent County Jail facility. The term <br />of the 2012 License expired on February 28, 2015, and COUNTY has been holding over under <br />the terms of that 2012 License. <br />C.CITY is willing to continue providing to COUNTY a license to use a portion of the <br />City Property not used by CITY or other parties (“License Area”)as depicted in Exhibit "B" <br />attached hereto and incorporated herein by reference for job site trailers, vehicle and equipment <br />storage and certain other uses, all on the terms set forth in an Amended and Restated License <br />Agreement (“License Agreement”)dated on or about the date hereof. <br />D.County desires to sublicense a portion of the License Area to Sublicensee for <br />Sublicense’s use of a portion of the jobsite trailers as construction offices and associated parking <br />for users of the trailers for a limited term. <br />TERMS <br />NOW, THEREFORE, for good and valuable consideration, the adequacy of which is <br />hereby acknowledged, Licensor and Licensee agree as follow: <br />1.PREMISES:County hereby providing to Sublicensee a license to use the portion of the <br />License Area not used by County or other parties (“Sublicense Area”) as depicted in <br />Exhibit "C" attached hereto and incorporated herein by reference for use as construction <br />management offices, all on the terms set forth herein. The sublicense granted herein <br />includes the ability for Sublicensee’s users of the Sublicense Area to park within the <br />License Area.
