REV: 03-15-22 RL <br />designated vehicle. <br />(c)"Fleet Equipment" means vehicles in the fleet owned by SVCW, which <br />generally includes both marked and unmarked motor vehicles of various makes and models. <br />(d)"Municipal Services Center" means Redwood City's Municipal Services <br />Center, located at 1400 Broadway, Redwood City, California. <br />2.MAINTENANCE AND RETROFITTING SERVICES. <br />(a)Redwood City shall provide Maintenance Services and Retrofitting Services <br />on an "as needed" basis based upon Fleet Equipment manufacturer recommendations and <br />upon request of SVCW. SVCW shall deliver its Fleet Equipment to the Municipal Services <br />Center for Maintenance Services and/or Retrofitting Services and upon completion thereof, <br />take delivery of said Fleet Equipment within a reasonable time. SVCW is responsible for <br />scheduling Maintenance Services and Retrofitting Services for each vehicle and upon <br />completion of Maintenance Services, Redwood City shall generally indicate the approximate <br />date of the next recommended maintenance service for such vehicle. <br />(b)Further, SVCW has sole authority and responsibility to schedule or to omit <br />Maintenance Services and Retrofitting Services for any particular motor vehicle or <br />equipment. <br />3.COMPENSATION; COSTS; REVISIONS. SVCW shall compensate Redwood City <br />for labor furnished hereunder for Maintenance Services and Retrofitting Services at the hourly rate <br />of One Hundred Nineteen and 49/100 Dollars ($119.49), including common labor, skilled labor, <br />trained mechanic's services or other labor or services necessary or appropriate for furnishing such <br />Maintenance Services and Retrofitting Services, and shall not exceed a total of Fifty-five Thousand <br />Dollars ($55,000) in the first year, absent written agreement of the parties. SVCW shall pay <br />Redwood City for all parts and supplies furnished in connection with such Maintenance Services <br />and Retrofitting Services at the cost thereof to Redwood City. <br />Redwood City shall submit monthly billing to SVCW with a summary sheet and work orders for all <br />work performed, and SVCW shall pay Redwood City within fourteen (14) business days of receipt <br />of billing. The hourly rate will remain in effect for one year from the Effective Date of this agreement <br />and can be adjusted by Redwood City at any time thereafter with thirty (30) days written notice; <br />provided, however, that in no event shall the increase or decrease exceed three percent (3%) <br />each year. Notwithstanding the above, if Redwood City's costs escalate beyond the 3% increase <br />due to changes in such things as the PERS contribution and/or employee healthcare costs, the <br />Parties agree to meet and confer on the annual cost increase. Any adjustment to the hourly rate <br />will require a written amendment executed by both Parties indicating the effective date of the <br />ATTY/AGR.2022.052/City of Redwood City (SVCW Fleet Maintenance) (Page 2 of 6)
