REV: 04-05-2022 RL <br />CONSENT AGREEMENT PROVISIONS <br />1. City hereby consents to the assignment of the General Services Agreement, as it <br />may have been amended from time to time, and all of the rights, duties, obligations <br />and interest set forth therein from Assignor to Assignee. This consent is based on <br />representations made by Assignor and Assignee that all the duties and obligations <br />of Assignor to perform specified services included in the General Services <br />Agreement, as it may have been amended from time to time, shall be performed by <br />Assignee after the assignment is complete. <br />2. City acknowledges and relies on this acceptance by Assignee of all of the rights, <br />obligations and interest in the General Services Agreement, as it may have been <br />amended from time to time, and the relinquishment of all such the rights, obligations <br />and interest in the General Services Agreement, as it may have been amended from <br />time to time, by Assignor. Assignee agrees to undertake any and all action(s) <br />necessary to meet the terms and conditions of the General Services Agreement, as <br />it may have been amended from time to time, referred to in this Consent Agreement. <br />3. Upon execution of this Consent Agreement any pending debts or obligations due to <br />City and those which subsequently arise or accrue from the terms and conditions of <br />the General Services Agreement, as it may have been amended from time to time, <br />shall become payable by Assignee to the City or its agents, or assigns. <br />4. This Consent Agreement embodies the entire agreement concerning the <br />assignment of the General Services Agreement, as it may have been amended from <br />time to time. No verbal agreements or conversation with any officer, agent or <br />employee of City prior to execution of this Consent Agreement shall affect or modify <br />any of the terms or obligations contained in this Consent Agreement. Any such <br />verbal agreement shall be considered as unofficial information and in no way binding <br />upon City. <br />5. As a condition of the terms of this Consent Agreement, Assignee shall provide the <br />City with the following: <br />a. Revised Certificate of Insurance, as well as all policy endorsements to <br />indicate that Assignee has purchased, and is maintaining, all of the required <br />insurance policies and has provided the required endorsements which were <br />included in the terms and conditions of the General Services Agreement, as <br />it may have been amended from time to time. <br />6. If all Parties agree, electronic signatures may be used in place of original signatures <br />on this Consent Agreement. Each Party intends to be bound by the signatures on the <br />electronic document, is aware that the other Parties will rely on the electronic <br />signatures, and hereby waives any defenses to the enforcement of the terms of this <br />Consent Agreement based on the use of an electronic signature.
