Insurance. In the event CITY does not perform all necessary Work with its <br />own employees and staff, before any outside contractor or its employees may <br />access the Property or perform any Work on the Property, City's contractor for any <br />such Work (“Contractor”) shall name OWNER as an additional insured party under <br />its commercial general liability policy. CITY and Contractor shall deliver a certificate <br />of insurance to OWNER evidencing coverage of not less than $2,000,000 to <br />OWNER for general liability. Contractor shall also provide a policy of automobile <br />liability insurance in the sum of $1,000,000 and a Worker’s Compensation policy <br />before commencing work on the Property. <br />9. Indemnity. City and its Contractor, if one is used by City, in its agreement with <br />the Contractor, shall indemnify, hold harmless, and defend OWNER and its officials, <br />officers, employees, and agents, from and against every claim or demand made and <br />every liability, loss, damage, or expense of any nature whatsoever and all costs or <br />expenses incurred in connection therewith, including claims for property damage, <br />bodily injury or death, together with any and all reasonably necessary attorneys’ fees <br />and costs, which arise out of the performance of the Project Work by City and/or its <br />Contractor or its agents, employees, independent contractors, or subcontractors, <br />except to the extent caused by the sole gross negligence or willful misconduct of <br />OWNER or OWNER's tenants, officials, officers, employees or agents. <br />10. Rights Limited. This Agreement is intended and shall be construed only as a <br />temporary right and license to annually enter and perform the Work on the Property <br />described herein and not as the grant of any interest in the Property to the City. <br />11. Binding Effect. This Agreement shall be binding upon the parties hereto and <br />their respective successors, representatives, heirs and assigns. <br />12. Modification. This Agreement may not be modified except in writing by all of <br />the parties hereto. <br />13. Electronic Signatures. If all Parties agree, electronic signatures may be used <br />in place of original signatures on this Agreement. Each Party intends to be bound by <br />the signatures on the electronic document, is aware that the other Parties will rely on <br />the electronic signatures, and hereby waives any defenses to the enforcement of the <br />terms of this Agreement based on the use of an electronic signature.
