3.03 Seller's Closing Cost: Seller to pay for Escrow fees and Seller processing <br />fees, registration fees, sales tax to HCD and/or tax collector, title search, notice of escrow <br />opening, registration fees to HCD, duplicate registration/title to HCD if needed and <br />recovery fund fees. <br />3.04 Closing: Close of escrow shall occur on 75 days after acceptance. Seller <br />shall transfer the Assets pursuant to the Bill of Sale attached hereto as Attachment No. <br />2. <br />ARTICLE 4. DEPOSIT/CONSIDERATION. <br />4.01 Depo5it: Buyer shall deliver to Escrow Holder the amount of Twenty One <br />Hundred Dollars ($2,100.00) within five (5) business days of acceptance. <br />4.02 Increased Deposit: Buyer shall deposit with Escrow Holder an increased <br />deposit in the amount of Seven Thousand Nine Hundred ($7,900.00) upon written <br />removal of due diligence contingency by Buyer. Buyer's total deposit of Ten Thousand <br />Dollars ($10, 050.00) will be non-refundable upon deposit. <br />ARTICLE 5. CONDITIONS OF PURCHASE. <br />5.01 Due Diligence: Buyer shall have sixty (60) days after Seller's acceptance, <br />unless otherwise agreed to in writing, to: conduct inspections, investigations, tests and <br />any other studies at Buyer's expense. <br />5.02 Seller Cooperation: Upon acceptance Seller shall agree to permit Buyer or <br />agents of Buyer access to the Assets so that Buyer may perform Buyer's due diligence. <br />Keys, and/or means to operate all locks to the Assets to be accessible to Buyer <br />throughout the Escrow period. <br />5.03 "AS -IS" Condition and Waiver and Release: Seller hereby disclaims, and <br />Buyer hereby acknowledges that Seller has disclaimed, all representations and <br />warranties relating to the Assets, including, without limitation, habitability, merchantability <br />and fitness for a particular purpose. The Assets are sold and transferred "AS -IS" in its <br />PRESENT physical condition as of the date of acceptance, subject to Buyer investigation <br />rights. The Assets are to be maintained in substantially the same condition as on the <br />date of acceptance. Buyer does hereby fully, unconditionally and completely waive, <br />release and discharge Seller and its employees, officials, attorneys, contractors, agents, <br />representatives, consultants, successors and assigns from any and all claims, actions, <br />causes of action, demands, damages, costs, liabilities, expenses (including attorneys' <br />fees) and compensation, of any kind or nature, known or unknown, associated with or <br />arising from the merchantability, fitness or condition of the Assets. <br />5.04 Security: During escrow, and for 90 days after the sale or date of removal <br />of the floating home from premises, Seller to provide, and manage, 24/7 surveillance and <br />security of the Assets. <br />REV: 08-18-21 RL <br />
