Attachment No. 2 <br />BILL OF SALE <br />THIS BILL OF SALE ("Bill of Sale) is made as of , 2021 (the <br />"Effective Date") from THE CITY OF REDWOOD CITY ("Seller") in favor of BURKS <br />AND CO. LLC. ("Buyer"). <br />FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of which <br />are hereby acknowledged, stipulated and agreed, Seller hereby absolutely and <br />unconditionally sells, bargains, transfers and assigns to Buyer all of Seller's right, title and <br />interest in and to the items identified on Exhibit 1 attached hereto (the "Assets"). Seller <br />hereby represents and warrants that it has full right, title and authority to transfer the <br />Assets to Buyer as provided in this Bill of Sale. SELLER HEREBY DISCLAIMS, AND <br />BUYER, BY ITS RECEIPT OF THIS BILL OF SALE HEREBY ACKNOWLEDGES THAT <br />SELLER HAS DISCLAIMED, ALL REPRESENTATIONS AND WARRANTIES <br />RELATING TO THE ASSETS INCLUDING, WITHOUT LIMITATION, HABITABILITY, <br />MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
