REV: 04-21-2022 RL OPERATIONS AGREEMENT THIS AGREEMENT, made this ______ day of _________________ 2022 by and between RWC Sequoia Station 2, LLC (“Owner”), and the City of Redwood City, a charter city and municipal corporation of the State of California, (“Vendor”); collectively referred to as the “Parties”. The Parties mutually agree as follows: 1. Owner shall permit Vendor to operate a People’s Budget booth at Sequoia Station shopping Center (the “Center”). The booth may include two tables, chairs, and a banner that will be held by a freestanding stand. Vendor shall keep all appurtenances to its operation of the People’s Budget booth, i.e., personal belongings, etc., out of plain view of the customers and patrons of the Center. The People’s Budget booth location (“Location”) is described as the area in the main courtyard as indicated on the attached site plan marked as “Exhibit A” located approximately at 1071 El Camino Real, Redwood City, CA. 2. The term of this Agreement is for twenty-two (22) days, commencing on April 22, 2022, and expiring on May 13, 2022. 3. Vendor may operate its business from 11:00 a.m. to 6:00 p.m. weekdays and 11:00 a.m. to 6:00 p.m. on weekends. 4. All persons operating the People’s Budget booth are employees of Vendor and not of Owner. 5. Vendor shall maintain its equipment and the area immediately surrounding its operation in a clean and sanitary condition and at the end of the term shall remove from the Location any and all of its equipment, trash, and incidental debris. Vendor agrees to take good care of the Location and maintain the Location in good condition throughout the term of this Agreement. 6. Vendor shall indemnify, defend, and hold harmless Owner from loss, liability, cost, or expense (including reasonable attorney’s fees) for bodily injury, death, and property damage but only to the extent, the same are caused by negligence, misconduct, or other fault of Vendor, its agents, employees, or customers which arise out of Vendor’s business performed under this Agreement. 7. Vendor represents that it maintains (a) a comprehensive general liability policy with bodily injury and property damage limits of $1,000,000 per occurrence, including products liability, (b) Vendor maintains a $1,000,000 worker’s compensation policy which specifically includes its operations at the Center, and (c) will deliver certificates of insurance to Owner prior to Vendor occupying the property, naming Owner and its managing agent as additional insureds by endorsement. Additional insured endorsement to read as follows: Crosspoint Realty Services, Inc. & RWC Sequoia Station 2, LLC, Lowe Enterprises Real Estate Group, and its wholly owned subsidiaries and agents are hereby named as additionally insured including completed operations. 8. If Owner is dissatisfied with the quality of services provided at the Center, Owner may inform Vendor in writing of the specific areas of dissatisfaction, and if Vendor shall fail to ATTY/AGR.2022.098/RWC Sequoia Station 2 (Page 1 of 3) 29th April
