EXHIBIT "A" <br />SCOPE OF SERVICES <br />In connection with the planning for and implementation of a sale of bond, certificates of <br />participation or other securities, William Euphrat Municipal Finance will charge to a fixed <br />fee of $45,000, contingent upon the sale of such bonds or other securities. Such fee <br />shall be inclusive of out of pocket expenses. <br />In connection with the development of financing alternatives, William Euphrat Municipal <br />Finance, Inc., shall: <br />1. Provide independent financial advice on possible financing alternatives and make <br />suitable recommendations; <br />2. Identify existing and potential new revenue sources and a way to use such revenue <br />sources to secure debt or lease obligations that may be used to leverage revenue into <br />construction proceeds; <br />3. Propose financing methods to be considered for accomplishing the City's objectives and <br />identify basic legal requirements for various financing structures. William Euphrat Municipal <br />Finance, Inc., is not a law firm and will not provide legal advice. This task will be completed in <br />consultation with City staff and legal counsel; <br />4. Evaluate the advantages and disadvantages of each identified financing mechanism; <br />5. Evaluate the sufficiency of projected cash flows from any revenue source that may <br />constitute security for any obligation incurred; <br />6. Recommend the most appropriate combination of new and existing revenue sources and <br />any associated borrowing structures that will satisfy the City's need to raise money for the target <br />infrastructure project or projects; <br />7. Assist with the development of any appropriate resolutions or ordinances that may be <br />required for implementation of the selected plan of finance; <br />8. Prepare draft staff reports in connection with presentations to the City Council and any <br />required City Council approvals in connection with the selected plan of finance; <br />9. Recommend the method of sale (competitive or negotiated); <br />In connection with a negotiated sale of bonds or other securities, William Euphrat Municipal <br />Finance, Inc., shall: <br />10. Meet and confer with City staff, bond counsel and disclosure counsel to ascertain the <br />scope of the (financing) project and the financial objectives of the City; <br />11.
