REV: 12-16-21 MI <br />Governing Law & Arbitration. This Agreement is governed by California law, excluding California’s choice of law <br />rules. All disputes relating to this Agreement will be subject to binding arbitration pursuant to the rules of The <br />American Arbitration Association or the Judicial Arbitration and Mediations Services, Inc. The exclusive place <br />of the arbitration shall be San Mateo County, California. Judgment on the arbitration award may be entered in <br />any court having jurisdiction thereof. For the purpose of entry of judgment on such an award, the parties <br />consent to personal jurisdiction in the courts of San Mateo County, California. <br />Headings Not Controlling. All captions and headings in this Agreement are for purposes of convenience only <br />and shall not affect the construction or interpretation of any of its provisions. <br />Severability. If any provision of this Agreement is held to be illegal, invalid, or unenforceable, such provision is <br />fully separable, and the remaining provisions of the Agreement shall remain in full force and effect. <br />Electronic Signatures. If all Parties agree, electronic signatures may be used in place of original signatures on this <br />Agreement. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties <br />will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this Agreement <br />based on the use of an electronic signature.
