REV: 04-14-2022 RL <br />MASTER PURCHASE AGREEMENT <br />FOR GOODS, COMMODITIES, AND SERVICES <br />This Master Purchase Agreement for goods, commodities and services (“Master <br />Purchase Agreement”) is made and entered into on this ______ day of ______________ <br />2022 (the “Effective Date”) by and between Interstate Traffic Control Products, Inc., a <br />California corporation (“Vendor”), and the City of Redwood City, a California charter city <br />and municipal corporation (“City”). City and Vendor are sometimes referred to hereinafter <br />individually as “Party” and collectively as “Parties.” <br />RECITALS <br />A. City requires the supply of traffic signs, safety products, and related services. <br />B. Following a solicitation process, Vendor submitted the lowest responsive and <br />responsible bid received by City. <br />C. City now desires to purchase goods and services from Vendor from time to time <br />pursuant to the terms and conditions of this Master Purchase Agreement. <br />NOW THEREFORE, in consideration of the faithful performance of the terms and <br />conditions set forth in this Master Purchase Agreement, the Parties hereto agree as <br />follows: <br />1. Purchase of Goods and Services. City agrees to purchase, and Vendor agrees to <br />sell, goods (“Goods”) and to provide any services related to the delivery of such goods <br />(“Services”), on an as needed basis, as set forth in (i) the City’s Notice Inviting Bids (“City’s <br />Bid Documents”), and (ii) Vendor’s Bid in response thereto (“Vendor’s Bid”). The City’s <br />Bid Documents and the Vendor’s Bid shall be referred to collectively as the “Bid <br />Documents.” The Goods will be in compliance with all of the standards and specifications <br />set forth in the Bid Documents, and the Services will be provided in a manner consistent <br />with that level of care and skill ordinarily exercised by members in the same profession, <br />practicing in the same locality under similar conditions. In the event of any conflict, the <br />order of precedence shall be as follows: (i) City’s Bid Documents; (ii) specifications set <br />forth in this Master Purchase Agreement; and (iii) Vendor’s Bid. There will be no <br />substitution of Goods or Services without the prior written authorization of City. City will <br />place an order (“Order”) on an as-needed basis with the Vendor through their sales <br />representative. In no event shall any order form provided by the Vendor supersede the <br />terms of this Agreement. <br />2. City Employees Authorized to Submit Orders. The following City employees are <br />authorized to submit an Order pursuant to this Master Purchase Agreement: Alex (Jesus) <br />Espinoza, Benjamin Fenech, Cory Cattaneo, Donald Burington, Donald (Nick) Nickle, <br />Francisco Espinoza, Jose Robles, Manase Vaka, Martin Romero, Michael Villa, Rakesh <br />Singh, Robert Peter, Robin Kim, Reuben Ricketts, Sergio Rodriguez-Galvan, Vijay Nand, <br />or their designee. <br />ATTY/AGR.2022.089/Interstate Traffic Control Products, Inc.
