REV: 07-22-22 SK <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br /> (TBWBH Props & Measures) <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />_____________, 2022 by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and TERRIS BARNES WALTERS <br />BOIGON HEATH LESTER, INC, a California corporation d/b/a TBWBH Props & <br />Measures (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services dated <br />as of June 7, 2022 (the “Original Agreement”)(the Original Agreement and this <br />Amendment No. 1 are collectively known as the “Agreement”). <br />C. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Consultant will provide the additional services set forth in Exhibit “A”, and <br />such services will be considered part of the Services for purposes of the Agreement. <br />2. City will pay Consultant a not-to-exceed amount of Thirty Thousand Dollars <br />($30,000) for the completion of all the services described in Exhibit “A”, which sum will <br />include all costs or expenses incurred by Consultant. Including all amendments through <br />Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed <br />amount of Ninety Thousand Dollars ($90,000). <br /> <br />3. Consultant will complete all work described in Exhibit “A” by July 25, 2022, <br />provided that the City may grant extensions consistent with the extension provisions set <br />forth in the Agreement. <br />4. All other provisions of the Agreement will remain in full force and effect. <br />5. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />6. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 1. <br />ATTY/AGR.2022/Amend.
