REV: 07-05-2023 MI AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES Daryl D. Jones, Inc. Dba: Telecommunications Engineering Associates This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of ___________, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Daryl D. Jones, dba: Telecommunications Engineering Associates, a California corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of July 1, 2022 (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not-to-exceed amount of Eighty-Four Thousand Five Hundred Fifty One Dollars and Fourteen Cents ($84,551.14) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No.1, the total amount payable under the Agreement will be a not-to-exceed amount of Two Hundred Ninety Thousand Nine Hundred Eight Dollars and Ninety Cents ($290,908.90). 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No.1 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the legal power, right and actual authority to bind Consultant to the terms and conditions of this Amendment No. 1. 6. If all Parties agree, electronic signatures may be used in place of original signatures on this Amendment No.1. Each Party intends to be bound by the signatures on the electronic document, is aware that the other Parties will rely on the electronic signatures, and hereby waives any defenses to the enforcement of the terms of this ATTY/AGR.2023/Amend.No.1/TEA (Radio base replacement) (Page 1 of 5) July 28, 2023
