REV: 07-14-2023 RL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (Dewey Service, Inc. doing business as Dewey Pest Control) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _________________, 2023, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Dewey Services, Inc. doing business as Dewey Pest Control, a California corporation (“Contractor”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of July 12, 2022 (the “Agreement”). B. While the Agreement expired on July 12, 2023, the Parties continued to work together to ensure continuation of Services. The Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 1 and authorize the payment to the Contractor for Services rendered for the period between July 12, 2023, and the effective date of this Amendment No. 1. C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. City will pay Contractor a not-to-exceed amount of One Hundred Twenty- Three Thousand Six Hundred Dollars ($123,600) for the completion of all the services described in the Agreement, which sum will include all costs or expenses incurred by Contractor. Including all amendments through Amendment No.1, the total amount payable under the Agreement will be a not-to-exceed amount of One Hundred Eighty- Three Thousand Six Hundred Dollars ($183,600). 2. Unless terminated earlier, the term of this Amendment No. 1 will be a period of two years from July 12, 2023. Including all amendments, through Amendment No. 1, the total term of this Agreement is three years from the Effective Date of the Agreement. 3. All other provisions of the Agreement will remain in full force and effect. 4. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement will include coverage for this Amendment No. 1. 5. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Amendment No. 1.
