REV: 10-31-2022 RL <br />AMENDMENT NO. 3 <br />TO AGREEMENT FOR SERVICES <br /> LifeMoves <br />This Amendment No. 3 (the “Amendment No. 3”) is entered into and effective as <br />of ________________________, by and between the City of Redwood City, a charter <br />city and municipal corporation of the State of California (“City”), and LifeMoves, a <br />California nonprofit corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of July 12, 2022, (the “Original Agreement”). <br />B. The Parties previously executed Amendment No. 1 to the Original <br />Agreement (“Amendment No. 1”), dated as of September 12, 2022. <br />C. The Parties previously executed Amendment No. 2 to the Original <br />Agreement (“Amendment No. 2”), dated as of October 12, 2022 (the “Original <br />Agreement” and “Amendments No. 1 and 2” are collectively known as the “Agreement”). <br />D.While the Agreement expired on October 23, 2022, the Parties now wish <br />to renew implementation of the Agreement as amended by this Amendment No. 3 and <br />authorize any payment to the Consultant for Services rendered for the period between <br />October 23, 2022 and the effective date of this Amendment No. 3. <br />E. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 3. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. Unless terminated earlier, the term of this Amendment No. 3 will start on <br />the effective date of this Amendment No. 3 and remain in effect until October 31, 2022. <br />Including all amendments, through Amendment No. 3, the total term of this Agreement is <br />approximately three and a half months. <br />2. All other provisions of the Agreement will remain in full force and effect. <br />3. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 3. <br />4. The individuals executing this Amendment No. 3 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 3. <br />5. If all Parties agree, electronic signatures may be used in place of original <br />ATTY/AGR.2022-Amend No. 3/LifeMoves (Page 1 of 3) <br />November 4, 2022
