j. Amendments: This Agreement may be amended or modified only by written instrument executed by all of the Parties. k. Severability: If any clause or provision of this Agreement is illegal, invalid or unenforceable under present or future laws, then and in that event, it is the intention of the Parties that the remainder of this Agreement shall not be affected thereby. It is also the intention of the Parties that in lieu of each clause or provision of this Agreement that is illegal, invalid or unenforceable, there be added, as a part of this Agreement, a clause or provision as similar in effect to such illegal, invalid or unenforceable clause or provision as shall be legal, valid and enforceable. 1. Non -Waiver: No Party shall be deemed to have waived any provision of this Agreement unless it does so in writing, and no "course of conduct' shall be considered to be such a waiver, absent such a writing. n.
