REV: 03-01-23 RL <br />AMENDMENT NO. 1 TO AGREEMENT FOR CONSULTANT SERVICES <br /> (Rolph Mejia) <br />This Amendment No.1 (the “Amendment No.1”) is entered into and effective as of <br />March 1, 2023, by and between ROLPH MEJIA, an individual (“Consultant”), REDWOOD <br />CITY TOGETHER (a collaboration comprised of Nine partners, including City of Redwood <br />City, Redwood City Elementary School District, Sequoia Union High School District, <br />County of San Mateo Health, County of San Mateo Human Services Agency, Sequoia <br />Healthcare District, John W. Gardner Center for Youth and their Communities at Stanford <br />University (Stanford University), Kaiser Permanente, Canada College) North Fair Oaks <br />Community Council, Upward Scholars, and CITY OF REDWOOD (“City”) acting as Fiscal <br />Agent for Redwood City Together, and City are hereinafter referred to as the “Parties.” <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Consultant <br />Services, dated as of July 29th, 2022, (the “Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No.1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of Three Hundred Dollars <br />($300) for the completion of all the services described in Exhibit “A”, which sum will <br />include all costs or expenses incurred by Consultant. Including all amendments through <br />Amendment No. 1, the total amount payable under the Agreement will be a not-to-exceed <br />amount of Five Thousand Seven Hundred Fifty Dollars ($5,750). <br /> <br />2. Unless terminated earlier, the term of this Amendment No.1 will expire <br />upon Completion of Services by Consultant. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />5. The individuals executing this Amendment No.1 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No.1. <br />6. If all Parties agree, electronic signatures may be used in place of original <br />ATTY/AGR.2023/Amend. No.1/Rolph Mejia (Video for Redwood City Together) (Page 1 of 4)
