REV: 07-27-2023 VR <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br /> E Source Companies, LLC <br />This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as <br />of August 26, 2023, by and between the City of Redwood City, a charter city and municipal <br />corporation of the State of California (“City”), and E Source Companies, LLC, a Delaware <br />limited liability company (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain Agreement for Services, dated <br />as of August 26, 2022 (the “Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of Two Hundred Fifty-Eight <br />Thousand Three Hundred Dollars ($258,300) for the completion of all the services <br />described in Exhibit “A” of the Agreement, which sum will include all costs or expenses <br />incurred by Consultant. Including all amendments through Amendment No. 1, the total <br />amount payable under the Agreement will be a not-to-exceed amount of Three Hundred <br />Seventy-Eight Thousand Three Hundred Dollars ($378,300). <br /> <br />2. Unless terminated earlier, the term of this Amendment No. 1 will be a period <br />of two years from the effective date of this Amendment No. 1. Including all amendments, <br />through Amendment No. 1, the total term of this Agreement is three years from the <br />Effective Date of this Agreement. <br />3. Consultant will complete all work described in Exhibit “A” by August 25, <br />2025, provided that the City may grant extensions consistent with the extension <br />provisions set forth in the Agreement. <br />4. All other provisions of the Agreement will remain in full force and effect. <br />5. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />6. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 1. <br />ATTY/AGR.2023/Amend.No.1/E Source Companies, LLC (Water Loss Consultation Services) (Page 1 of 3)
