REV: 08-04-23 VR <br />AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES <br /> (Redwood City PAL Center) <br />This Amendment No. 1 (“Amendment No. 1”) is entered into and effective as of <br />September 15, 2023, by and between the City of Redwood City, a charter city and <br />municipal corporation of the State of California (“City”), and Redwood City Police Activities <br />League, a California nonprofit corporation (“Consultant”) (collectively, the “Parties”). <br />RECITALS <br />A. The Parties previously executed that certain AGREEMENT FOR <br />SERVICES: Redwood City Police Activities League (PAL) dated as of September 15, <br />2022, (the “Original Agreement”)(the Original Agreement and this Amendment No. 1 are <br />collectively known as the “Agreement”). <br />B. The Parties have negotiated and agreed to the terms and conditions set <br />forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit <br />A, incorporated herein by reference. <br />NOW, THEREFORE, in consideration of these recitals and the mutual covenants <br />contained herein, the Parties agree as follows: <br />1. City will pay Consultant a not-to-exceed amount of Three Hundred and <br />Twenty-Five Thousand Dollars ($325,000) for the completion of all the services described <br />in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. <br />Including Amendment No.1, the total amount payable under the Agreement will be a not- <br />to-exceed amount of Six Hundred and Seventy-five Thousand Dollars ($675,000). <br /> <br />2. Unless terminated earlier, the term of this Amendment No. 1 will be a period <br />of nine months from the effective date of this Amendment No. 1. Including all <br />amendments, through Amendment No.1, the total term of this Agreement is twenty-one <br />months from the Effective Date of the Original Agreement. <br />3. All other provisions of the Agreement will remain in full force and effect. <br />4. All requisite insurance policies to be maintained by Consultant pursuant to <br />the Agreement will include coverage for this Amendment No. 1. <br />5. The individuals executing this Amendment No. 1 and the instruments <br />referenced in it on behalf of Consultant each represent and warrant that they have the <br />legal power, right and actual authority to bind Consultant to the terms and conditions of <br />this Amendment No. 1. <br />6. If all Parties agree, electronic signatures may be used in place of original <br />signatures on this Amendment No. 1. Each Party intends to be bound by the signatures <br />on the electronic document, is aware that the other Parties will rely on the electronic <br />ATTY/AGR.2023/Amend. No. 1/PAL (PACE) (Page 1 of 4)
