This Memorandum of Understanding ("MOU") is made and entered into as of this <br />14th day of May 2020, by and between the City of Redwood City, a municipal <br />corporation of the State of California ("City"), and the Port Department of the City of <br />Redwood City, by and through its Board of Port Commissioners ("Port Department"). <br />RECITALS <br />WHEREAS, the City is a Charter City governed by a City Charter ("Charter"), which <br />operates as the constitution for the City's actions; and <br />WHEREAS, the Council of Redwood City ("Council") is the governing body of the <br />City and is vested with all the powers necessary or convenient for a complete and <br />adequate system of municipal government, consistent with the Constitution of the State <br />of California, including all powers now or hereafter granted by general law to councils of <br />municipalities; and <br />WHEREAS, the Charter establishes the Port Department to promote and insure <br />more definitely the comprehensive and adequate development of the Port of Redwood <br />City ("Port") through continuity of control, management and operation, which exclusive <br />control and management of the Port Department is vested in the Board of Port <br />Commissioners ("Port Board"); and <br />WHEREAS, the Charter grants to the Port Board control and jurisdiction of the <br />"Port Area" as defined in Section 50 of the Charter, to sue and defend, to enter into <br />contracts, to adopt and enforce ordinances, and to make and enforce general rules and <br />regulations, to the extent that may be necessary or requisite for Port purposes or harbor <br />development; and <br />ATTY/AGR/2019.302/CITY-PORT MOU FOR PORT ATTORNEY SERVICES <br />REV: 04-02-2020 VR <br />Page 2 of 5 <br />
