The Commercial General Liability insurance policy shall be <br />endorsed to name the Authority, its officers, agents, employees and <br />volunteers as additional insureds. <br />11.1.2 Workers' Compensation Insurance. City shall maintain coverage as <br />required by the California Labor Code. <br />11.1.4 Errors and Omissions Liability. City shall maintain coverage with <br />limits not less than $2,000,000 per occurrence. <br />11.2. Notice of Cancellation. This insurance will be in force during the life of the <br />Agreement and any extensions of it and will not be canceled without City providing <br />thirty (30) days prior written notice to Authority sent pursuant to the Notice <br />provisions of this Agreement. <br />12. Maintenance of Records. City will maintain complete and accurate records with <br />respect to costs incurred under this Agreement. All records will be clearly identifiable. <br />City will allow a representative of Authority during normal business hours to examine, <br />audit, and make transcripts or copies of records and any other documents created <br />pursuant to this Agreement. City will allow inspection of all work, data, documents, <br />proceedings, and activities related to the Agreement for a period of three (3) years from <br />the date of final payment under this Agreement. <br />13. Ownership of Documents. Any reports, plans, drawings, renderings, photographs, <br />and other material prepared by or on behalf of City under this Agreement (collectively, the <br />"Documents") shall, upon preparation and delivery to Authority, become the property of <br />Authority. The City will have the right to make one (1) copy of the work product for City’s <br />financial records. <br />14. Notices. Each party will <br />notify the other immediately of any changes of address that would require any notice or <br />delivery to be directed to another address. <br />15. Conflict of Interest.
