("Habitat") and are to be <br />considered the JOINT escrow instructions for the sale by Habitat to individual homebuyers of five <br />(5) affordable housing units (the "Units") located in Redwood City. <br />INSTRUCTIONS <br />A. Escrow Accounts and Purchase Agreements. A separate escrow account ("Escrow") has <br />been opened for the sale of each Unit by Habitat and the respective buyers of the Unit (each, a <br />"Buyer" and collectively, the "Buyers"). Habitat and each of the Buyers have executed Purchase <br />Agreements (the "Purchase Agreements"), which Purchase Agreements contain escrow <br />instructions governing the escrow relating to the Unit in question. The Purchase Agreements have <br />been delivered to you separately. In the event of any conflict between these Instructions and the <br />instructions set forth in the Purchase Agreements, these Instructions shall control. <br />B. Documents to be Deposited: In addition to other documents that may be required by <br />Escrow Holder to close the transactions contemplated hereby, the parties will deposit the following <br />documents into the appropriate Escrow for each Unit: <br />1. Joint HGSF & HEART Promissory Note (From Buyer to Habitat) <br />2. Grant Deed with Power of Termination <br />3. Grant of Option to Repurchase and Resale Restriction Agreement by Buyer, Habitat <br />and City <br />4.
