AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES (LifeMoves) This Amendment No. 2 (the "Amendment No. 2") is entered into and effective as of June 13 , 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California ("City"), and LifeMoves, a California nonprofit corporation ("Consultant") (collectively, the "Parties"). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of November 14, 2022, (the "Original Agreement"). B. The Parties previously executed Amendment No. 1 to the Original Agreement ("Amendment No. 1"), dated as of April 27, 2023 (the "Original Agreement" and "Amendment No. 1" are collectively known as the "Agreement"). C. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the services set forth in the Scope of Services and Fees, attached to this Amendment No. 2 as Exhibit "A", and such services will be considered part of the Services for purposes of the Agreement. Exhibit A to Amendment No. 1 is hereby deleted and replaced with Exhibit A to this Amendment No. 2. 2. City will pay Consultant an additional not -to -exceed amount of Three Hundred Eighty Thousand Dollars ($380,000) for the completion of all the services described in Exhibit "A", which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not -to -exceed amount of Two Million Four Hundred Eleven Thousand Four Hundred Dollars ($2,411,400). 3. Unless terminated earlier, the term of this Amendment No. 2 will be a period from July 1, 2024, to December 31, 2024. Including all amendments, through Amendment No. 2, the total term of this Agreement is from November 14, 2022, through December 31, 2024. The City Manager may amend the Agreement to extend it for one (1) additional six (6) month period in an amount not to exceed Six Hundred Sixty Thousand Dollars ($660,000) per extension term. Any extension will require a written amendment executed by both parties indicating the effective date and length of the extended Agreement. REV: 05-16-24 MI ATTY/AGR.2024/Amend.
