Amendment to Agreement for Use of Subscription Material <br />This Amendment is entered into as of and becomes effective upon <br />being signed by both parties (“Amendment Effective Date”). This Amendment amends the Agreement for <br />Use of Subscription Material (the “Agreement”) entered into by and between Lexipol, LLC (“Lexipol”) <br />having its offices at 2611 Internet Blvd, Ste. 100 in Frisco, TX 75034 (“LEXIPOL”) and the City of Redwood <br />City, California (“Agency") as signed by Agency on December 22, 2021. <br />All terms not defined in this Amendment shall have the meaning set forth in the Agreement. Lexipol and <br />Agency (collectively the “Parties”) hereby agree to amend the Agreement as follows. <br />- Exhibit A of the Agreement (“Subscriptions Being Purchased and Subscription Fees”) shall be <br />replaced and superseded by the form of Exhibit A attached hereto. <br />- Section 1 of Exhibit B (“Term”) is hereby amended and shall be replaced as follows: <br />Term. This Agreement shall remain in effect for a three (3) year period commencing January 1, <br />2023 (the "Initial Term"). The Initial Term may be extended in successive annual periods <br />thereafter (each a "Renewal Term") upon mutual written Agreement by Agency and Lexipol. The <br />Initial Term and all subsequent Renewal Terms shall collectively comprise the "Term" of this <br />Agreement. <br />Except as expressly amended or modified by this Amendment, all terms and conditions of the Agreement <br />shall continue in full force and effect.
