BETTER LEARNING.TM <br />November 17, 2022 <br /> <br />Melissa Stevenson Diaz <br />City Manager - City of Redwood City <br /> <br />Rafael Avendano <br />Executive Director – Redwood City Together <br />1017 Middlefield Road, Redwood City, CA, 94603 <br /> <br /> <br />Letter of Agreement <br />Dear Melissa and Rafael, <br />This Letter of Agreement (Letter) sets forth the terms under which National Association of <br />School Nurses (NASN) is awarding a grant in the amount of $27,000 to Redwood City Together an <br />entity of City of Redwood City, CA. The grant is restricted and may only be used to fund the purpose <br />outlined in this Letter. <br /> The purpose of the NASN Champions for School Health Implementation grants is to address <br />both the immediate and long-term goals and outcomes of increasing routine childhood immunizations <br />and COVID-19 pediatric shots in arms, increasing vaccine confidence, addressing vaccine access, and <br />increasing health equity for under-resourced communities. The funds cannot be used for purchasing <br />equipment, or PPE. <br /> <br />Under the terms of this grant, Redwood City Together an entity of City of Redwood City, CA <br />(Grantee) must agree to: <br />• Participate in NASN’s online learning platform to share with other grantees regarding their <br />project, <br />• Participate in a mid-project call with NASN to discuss project progress, and <br />• Complete and send end of project data as specified (project data forms will be sent to grantee). <br />• Participate in an end of project interview if needed. <br /> <br />Grantee also agrees to deliver to NASN copies of all work product, results, reports, publications, <br />data, and other materials that may be created through the project (Project Work Product) as requested by <br />NASN. Grantee shall own all rights in the Project Work Product and shall grant to NASN a royalty-free, <br />non-exclusive, non-sublicensable license to use Project Work Product in furtherance of NASN’s <br />community health activities. <br /> <br />The City of Redwood City is acting as a fiscal agent for Redwood City Together and Grantee <br />represents that it is currently and shall remain during the period funded, exempt from federal income <br />taxes under the Internal Revenue Code. Grantee agrees to notify NASN immediately of any changes in <br />its tax status during the term of the grant. Grantee further represents that it shall remain in compliance <br />with all applicable laws in the use of the grant funds, the development of any Project Work Product, and <br />Grantee’s operation under the grant. <br /> <br /> <br />ATTY/AGR.2022.400/National Association of School Nurses (Page 1 of 2)
