REV: 4-17-2023 RL AMENDMENT NO. 1 TO AGREEMENT FOR SERVICES (Name of Consultant) This Amendment No. 1 (the “Amendment No. 1”) is entered into and effective as of _____________________, 2023 by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and Sharma & Associates, a California sole proprietor (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of December 20, 2022 (the “Agreement”). B. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 1, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the additional services set forth in Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. 2. City will pay Consultant a not-to-exceed amount of Twenty Thousand Dollars ($20,000.00) for the completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 1, the total amount payable under the Agreement will be a not- to-exceed amount of Forty Five Thousand Dollars ($45,000.00). 3. Unless terminated earlier, the term of this Amendment No.1 will be a period of six months from the effective date of this Amendment No. 1. Including all amendments, through Amendment No. 1, the total term of this Agreement is approximately ten months from the Effective Date of this Agreement. 4. Consultant will complete all work described in Exhibit “A” by August 30, 2023, provided that the City may grant extensions consistent with the extension provisions set forth in the Agreement. 5. All other provisions of the Agreement will remain in full force and effect. 6. All requisite insurance policies to be maintained by Consultant pursuant to the Agreement will include coverage for this Amendment No. 1. 7. The individuals executing this Amendment No. 1 and the instruments referenced in it on behalf of Consultant each represent and warrant that they have the ATTY/AGR.2023/Amend.No.1/Sharma & Associates (Accounting Services) (Page 1 of 4) Apr 28, 2023
