21.5 The rights and remedies of City are cumulative, and the exercise by <br />City of one or more of such rights or remedies will not preclude the exercise by it, <br />at the same or different times, of any other rights or remedies for the same default <br />or any other default. <br />22. Final Drawings. Upon completion of the Work and prior to final acceptance, <br />Developer will deliver to City a set of "as -built" drawings consistent with the Conditions. <br />These drawings will be in a form acceptable to the City Engineer, will be certified as being <br />"as -built" and will reflect the Work as actually constructed, with any and all changes <br />incorporated therein. Said drawings will be signed and sealed as accurate by the engineer <br />of record. <br />23. Monuments. All pipes and monuments shown on the Parcel Map which are <br />destroyed or displaced during construction operations will be replaced by Developer at <br />the time of the final inspection of the Improvements, if any. <br />24. Naticcs. Any notices relating to this Agreement will be given in writing and <br />will be deemed sufficiently given and served for all purposes when delivered personally <br />or by generally recognized overnight courier service, or five (5) days after deposit in the <br />United States mail, certified or registered, return receipt requested, with postage prepaid, <br />addressed as follows: <br />To Developer: Noventi QOZ Properties LLC <br />66 Marymont Avenue <br />Atherton, CA 94027 <br />Attn: Giacomo Marini, Manager <br />To City: City of Redwood City <br />1017 Middlefield Road <br />Redwood City, California 94063 <br />Attn: City Manager <br />With a copy to: City of Redwood City <br />1017 Middlefield Road <br />Redwood City, California 94063 <br />Attn: City Attorney <br />25. Assignment by Developer. Developer may assign its obligations under this <br />Agreement only with the City Attorney's prior written approval. In connection with any <br />such assignment, Developer and its assignee will execute and deliver to City a written <br />assignment and assumption agreement in a form reasonably acceptable to the City <br />Attorney. Developer may sell and/or grant the fee interest of lots/units or common area <br />located on the Property and thereby transfer all of its obligations under this Agreement to <br />its successors. Upon the sale and/or grant of a fee interest in a particular lot or common <br />area located on the Property, Developer's obligations under this Agreement will inure to <br />its successor -in -interest and Developer will thereafter be released from its obligations <br />under this Agreement with respect to such lot or common area. <br />REV: 09-22-2022 SK <br />ATTY/AGR.2022.358/Noventi Qoz Properties LLC (Page 12 of 22) <br />
