B. Acceptance of Service of Process. In the event that any legal action is <br />commenced by Developer against City, service of process on City shall be made by personal <br />service upon the City Clerk of City or in such other manner as may be provided by law. In the <br />event that any legal action is commenced by City against Developer, service of process on <br />Developer shall be made by personal service upon Developer's registered agent for service of <br />process, or in such other manner as may be provided by law. <br />Section 12.4 Rights and Remedies Are Cumulative. The rights and remedies of the <br />Parties are cumulative, and the exercise by a Party of one or more of such rights or remedies <br />shall not preclude the exercise by it, at the same or different times, of any other rights or <br />remedies for the same Default or any other Default by the other Party, except as otherwise <br />expressly provided herein. <br />Section 12.5 No Damages. In no event shall a Party, or its boards, commissions, <br />members, officers, agents, or employees, be liable in damages for any Default under this <br />Agreement, it being expressly understood and agreed that the sole legal remedy available to a <br />Party for a breach or violation of this Agreement by another Party shall be an action in <br />mandamus, specific performance, or other injunctive or declaratory relief to enforce the <br />provisions of this Agreement by the other Party, or to terminate this Agreement. This limitation <br />on damages shall not preclude actions by City to enforce payments of monies or the performance <br />of obligations requiring an obligation of money from the Developer under the terms of this <br />Agreement including, but not limited to, obligations to pay attorneys' fees and obligations to <br />advance monies or pay funds under ARTICLE 3 (Public Benefits). In connection with the <br />foregoing provisions, each Party acknowledges, warrants and represents that it has been fully <br />informed with respect to, and represented by counsel of such Party's choice in connection with, <br />the rights and remedies of such Party hereunder and the waivers herein contained, and after such <br />advice and consultation has presently and actually intended, with full knowledge of such Party's <br />rights and remedies otherwise available at law or in equity, to waive and relinquish such rights <br />and remedies to the extent specified herein, and to rely to the extent herein specified solely on <br />the remedies provided for herein with respect to any breach of this Agreement by the other Party. <br />Section 12.6 Resolution of Disputes_ With regard to any dispute involving the Project, <br />the resolution of which is not provided for by this Agreement or Applicable Law, a Party shall, at <br />the request of another Party, meet with designated representatives of the requesting Party <br />promptly following its request. The Parties to any such meetings shall attempt in good faith to <br />resolve any such disputes. Nothing in this Section 12.6 shall in any way be interpreted as <br />requiring that Developer and City reach agreement with regard to those matters being addressed, <br />nor shall the outcome of these meetings be binding in any way on City or Developer unless <br />expressly agreed to in writing by the Parties to such meetings. <br />Section 12.7 Surviving Provisions. In the event this Agreement expires or is <br />terminated, neither Party shall have any further rights or obligations hereunder, except for those <br />obligations set forth in Section 10.5 (Cooperation in the Event of Legal Challenge), or expressly <br />set forth herein as surviving the termination of this Agreement. Except as otherwise set forth in <br />Section 5.4 above with respect to vesting elements of the VTTM the termination or expiration of <br />this Agreement shall not affect the validity of the Project Approvals.
