Assignor and Assignee are collectively referred to herein as the "Parties." <br />RECITALS <br />This Agreement is entered into upon the basis of the following facts, understandings, and <br />intentions of Assignor and Assignee. <br />A. Assignor and the City of Redwood City, a California municipal corporation ("City") have <br />entered into that certain Development Agreement dated as of , 2022 ("DA"), which <br />was recorded in the Official Records of San Mateo County on , 2022 as Instrument <br />No. . All defined terms not specifically defined herein shall have the <br />meanings ascribed to them in the DA. <br />B. The DA relates to certain real property located in the City of Redwood City, County of San <br />Mateo, State of California (the "Property"). The Property is more particularly described in the <br />DA. <br />C. Assignor intends to convey [a portion of] the Property [as more particularly described in <br />Attachment 1 attached hereto (the "Transferred Property ")] to Assignee. <br />D. Assignor has the right to make the [partial] assignment of the DA to Assignee under <br />Section 11.1 of the DA. <br />E.
