REV:01-20-23 MI <br />3.4. Except as otherwise limited in this Agreement, Business Associate may use PHI for <br />the proper management and administration of Business Associate or to carry out the <br />legal responsibilities of Business Associate. <br />3.5. Business Associate may use PHI to report violations of law to appropriate Federal and <br />State authorities, consistent with 164.502(j)(1). <br />3.6. Except as expressly permitted by this Agreement, Business Associate shall not use or <br />disclose PHI in any manner that would violate the requirements of the Privacy Rule if <br />done by Covered Entity. <br />4. Obligations of Covered Entity and Employer <br />4.1. Covered Entity shall notify Business Associate of any limitation(s) in its notice of <br />privacy practices of Covered Entity in accordance with 45 CFR 164.520, to the extent <br />that such limitation may affect Business Associate’s use or disclosure of PHI. <br />4.2. Covered Entity shall notify Business Associate of any changes in, or revocation of, <br />permission by Individual to use or disclose PHI, to the extent that such changes may <br />affect Business Associate’s use or disclosure of PHI. <br />4.3. Covered Entity shall notify Business Associate of any restriction to the use or <br />disclosure of PHI that Covered Entity has agreed to in accordance with 45 CFR <br />164.522, to the extent that such restriction may affect Business Associate’s use or <br />disclosure of PHI. <br />4.4. Employer acknowledges and agrees that Business Associate may disclose PHI in its <br />possession to Employer’s workforce as necessary to administer the Plan(s). Employer <br />shall timely notify Business Associate in writing of any terminations or changes of <br />such employees. Employer shall indemnify and hold harmless Business Associate and <br />its employees for any and all liability Business Associate may incur as a result of any <br />improper use or disclosure of PHI by or caused the Plan, Employer, or Employer’s <br />Workforce. <br />5. Permissible Requests by Covered Entity <br />5.1. Covered Entity shall not request Business Associate to use or disclose PHI in any <br />manner that would not be permissible under the Privacy Rule if done by Covered <br />Entity, except for uses or disclosures for the purposes of data aggregation, <br />management, and administrative activities of Business Associate. <br />6. Miscellaneous <br />6.1. It is agreed that due to the manner in which PHI is retained and the retention <br />requirements of the Internal Revenue Service, returning or destroying all of the PHI <br />received from Covered Entity or created or received by Business Associate on behalf <br />of Covered Entity, is infeasible. Therefore, Business Associate shall extend the <br />protections of this Agreement to such PHI and shall limit further uses and disclosures <br />of such PHI to those purposes that make the return or destruction infeasible, for so <br />long as Business Associate maintains such PHI. <br />ATTY/AGR.2023.010/Navia Benefit Solutions (Navia Services (Dental HRA) 2023) (Page 40 of 42)
