C. Reasonable storage, transportation, demobilization, unamortized <br />overhead and capital costs, and other costs reasonably incurred by the <br />Contractor in winding down and terminating its work. <br />f) The Contractor will use generally accepted accounting principles, or accounting principles <br />otherwise agreed to in writing by the parties, and sound business practices in determining <br />all costs claimed, agreed to, or determined under this clause. <br />23.TERMINATION FOR DEFAULT: <br />a) The State may, subject to the clause titled “Force Majeure” and to sub-section d) below, <br />by written notice of default to the Contractor, terminate this Contract in whole or in part if <br />the Contractor fails to: <br />i. Deliver the Deliverables or perform the services within the time specified in the <br />Contract or any amendment thereto; <br />ii. Make progress, so that the lack of progress endangers performance of this <br />Contract; or <br />iii. Perform any of the other provisions of this Contract. <br />b) The State’s right to terminate this Contract under sub-section a) above, may be exercised <br />only if the failure constitutes a material breach of this Contract and if the Contractor does <br />not cure such failure within the time frame stated in the State’s cure notice, which in no <br />event will be less than fifteen (15) days, unless the Statement of Work calls for a different <br />period. <br />c) If the State terminates this Contract in whole or in part pursuant to this Section, it may <br />acquire, under terms and in the manner the Buyer considers appropriate, Deliverables or <br />services similar to those terminated, and the Contractor will be liable to the State for any <br />excess costs for those Deliverables and services, including without limitation costs third <br />party vendors charge for Manufacturing Materials (but subject to the clause entitled <br />“Limitation of Liability”).
