in such action at its own expense with respect to attorneys’ fees and costs (but <br />not liability); (b) where a settlement would impose liability on the State, affect <br />principles of California government or public law, or impact the authority of the <br />State, the Department of General Services will have the right to approve or <br />disapprove any settlement or compromise which approval will not unreasonably <br />be withheld or delayed; and (c) the State will reasonably cooperate in the <br />defense and in any related settlement negotiations. <br />b) Should the Deliverables, or the operation thereof, become, or in the Contractor’s opinion <br />are likely to become, the subject of a claim of infringement or violation of a U.S. <br />Intellectual Property Right, the State shall permit the Contractor, at its option and <br />expense, either to procure for the State the right to continue using the Deliverables, or to <br />replace or modify the same so that they become non-infringing. If none of these options <br />can reasonably be taken, or if the use of such Deliverables by the State shall be <br />prevented by injunction the Contractor agrees to take back such Deliverables and make <br />every reasonable effort to assist the State in procuring substitute Deliverables. If, in the <br />sole opinion of the State, the return of such infringing Deliverables makes the retention of <br />other Deliverables acquired from the Contractor under this Contract impractical, the State <br />shall then have the option of terminating such Contracts, or applicable portions thereof, <br />without penalty or termination charge. The Contractor agrees to take back such <br />Deliverables and refund any sums the State has paid the Contractor less any reasonable <br />amount for use or damage. <br />DGS PD 401IT (REVISED AND EFFECTIVE 9/5/14) <br />GENERAL PROVISIONS – INFORMATION TECHNOLOGY <br />Page 21 of 28 <br />c) The Contractor shall have no liability to the State under any provision of this clause with <br />respect to any claim of patent, copyright or trade secret infringement which is based <br />upon: <br />i.
