REV: 12-08-2022 RL <br />Exhibit “A” <br />Governance Structure <br />Redwood City Together uses a two-tiered governance model described below: <br />Redwood City Together Leadership Council <br />Role: Serves as the policy-making body for the collaborative and takes action after receiving <br />information and recommendations from the Executive Team and the Redwood City Together <br />Executive Director. The Leadership Council sets vision, guides strategy, supports aligned <br />activities, helps advance policy, approves the appointment/termination of the Executive Director <br />and any changes to the Executive Director’s salary, approves the annual budget, approves <br />program initiatives, approves monitoring and evaluation of program implementation, aligns the <br />values and purposes of member organizations and Redwood City Together, and provides <br />resources to sustain and grow the work of the collaborative. In addition, the Leadership Council <br />seeks resources and provides the forum in which issues impacting the community served by <br />Redwood City Together can be raised and addressed in a collaborative manner. <br />Membership: Each Redwood City Together collaborative partner organization is entitled to have <br />up to two members from the policy body of its organization serve on the Leadership Council. <br />These members should be elected or appointed directors, or have equivalent policy level <br />responsibility in their respective organization. Additionally, the two at-large members are entitled <br />to serve on the Leadership Council. <br />Structure: The Leadership Council will annually select a Chair from its members, who will be <br />responsible for leading the meetings of the Leadership Council, serving as liaison between the <br />Leadership Council and the Executive Team, and working with the Executive Director to develop <br />meeting agendas. The Leadership Council Chairperson will serve in that capacity for one year <br />and will be from the same core member organization as the Chairperson of the Executive Team. <br />Each core member organization will have the opportunity for its representatives to lead the <br />Leadership Council and the Executive Team. The Chairperson for the Leadership Council will <br />rotate among core member organizations on an annual basis every August. <br />Meetings: The Leadership Council will meet at least five (5) times annually. Additional meetings <br />will be scheduled as needed. The Leadership Council may choose to have one of these meetings <br />designated as a “joint policy meeting,” in which the Redwood City Together Executive Team and <br />Leadership Council will meet together. The Leadership Council may choose to convene a meeting <br />of the community and program partners that work in Redwood City Together priority areas to <br />share information and receive input about community needs. <br />The dates selected for Leadership Council meetings for 2022-23 include: <br />Thursday, October 20, 2022 from 9:00 AM–10:30 AM <br />Thursday, January 19, 2023 from 9:00 AM–10:30 AM <br />Thursday, March 16, 2023 from 9:00 AM–10:30 AM <br />Thursday, May 18, 2023 from 9:00 AM–10:30 AM <br />Thursday, June 15, 2023 from 9AM-12PM (Joint Policy Meeting) <br />ATTY/AGR.2022.423/Kaiser Permanente (Page 6 of 9)
