REV: 08-15-24 LF AMENDMENT NO. 2 TO AGREEMENT FOR SERVICES (WeHOPE) This Amendment No. 2 (the “Amendment No. 2”) is entered into and effective as of July ____, 2024, by and between the City of Redwood City, a charter city and municipal corporation of the State of California (“City”), and WeHOPE, a California nonprofit corporation (“Consultant”) (collectively, the “Parties”). RECITALS A. The Parties previously executed that certain Agreement for Services, dated as of March 24, 2023, (the “Original Agreement”). B. The Parties previously executed Amendment No. 1 to the Original Agreement (“Amendment No. 1”), dated as of February 2, 2024 (the “Original Agreement” and “Amendment No. 1” are collectively known as the “Agreement”) C. While the Agreement expired on June 30, 2024, the Parties continued to work together to ensure continuation of delivery of Services. The Parties now wish to renew implementation of the Agreement as amended by this Amendment No. 2 and authorize the payment to the Consultant for any Services rendered for the period between July 1, 2024, and the effective date of this Amendment No. 2. D. The Parties have negotiated and agreed to the terms and conditions set forth in this Amendment No. 2, including any terms and conditions of the attached Exhibit A, incorporated herein by reference. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, the Parties agree as follows: 1. Consultant will provide the services set forth in the Scope of Services and Fees, attached to this Amendment No. 2 as Exhibit “A”, and such services will be considered part of the Services for purposes of the Agreement. Exhibit “A” to Amendment No. 1 is herby deleted and replaced with Exhibit “A” to this Amendment No. 2. 2. City will pay Consultant a not-to-exceed amount of Forty-Nine Thousand Six Hundred Ninety-Seven Dollars and Fifty Cents ($49,697.50) for the continuation and completion of all the services described in Exhibit “A”, which sum will include all costs or expenses incurred by Consultant. Including all amendments through Amendment No. 2, the total amount payable under the Agreement will be a not-to-exceed amount of Two Hundred Sixty Thousand Sixty-Seven Dollars and Fifty Cents ($260,067.50). 3. Unless terminated earlier, the term of this Amendment No. 2 will end on December 31, 2024 . Including all amendments, through Amendment No.2, the total term of this Agreement is one year 6 months from the Effective Date of this Agreement. ATTY/AGR.2024/Amend.
