certain First Amendment to Development Agreement dated as of February 22, 2021, and <br />recorded in the Official Records on February 21, 2021 as Document No. 2021-108251 <br />and that certain Second Amendment to Development Agreement (the "Second <br />Amendment") dated as of January 24, 2022, and recorded in the Official Records on <br />January 28, 2022, as Document No. 2022-008266 (collectively, the "Development <br />Agreement"). The Development Agreement addresses, among other things, Developer's <br />and City's rights and obligations related to the portion of the Improvements associated <br />with the Blomquist Extension. <br />E. Among other things, the Second Amendment made revisions to the <br />definition of the "County Outside Date" related to deadlines for the completion of the <br />Abatement Work and the delivery of the "County Authorization" as those terms are <br />defined in the Development Agreement. <br />F. City and Developer desire to amend the SIA so that it is consistent with the <br />revised and new terms in the Second Amendment. <br />G. City and Developer also desire to extend the time to complete the Non- <br />Blomquist Improvements. <br />AGREEMENTS <br />NOW, THEREFORE, in consideration of the faithful performance of the terms and <br />conditions set forth in this Amendment, the Parties hereto agree as follows: <br />ARTICLE I. <br />DEFINITIONS <br />Section 1.1 All capitalized terms used herein shall have the meaning given in <br />the SIA, except as expressly otherwise defined in this First Amendment. <br />ARTICLE II. <br />SPECIFIC AMENDMENTS <br />Section 2.1 Section 3.5 of the SIA (Blomquist Extension) is deleted in its <br />entirety and replaced with the following (deletions shown in S*r�; additions shown <br />as double_underlined): <br />"3.5 Blomquist Extension. <br />A. Subject to the credits and reimbursements described in the First <br />Amendment and consistent with Section 3.3 of the Development Agreement as amended <br />by the Seton -Amendment and subject to the terms of this Section 3.5, Developer, at its <br />expense, shall construct or cause the construction of the Blomquist Improvements <br />comprised of the Blomquist — Developer Segment and the Blomquist — County Segment, <br />including the Offsite Water Line. The Parties acknowledge that the Blomquist — <br />Developer Segment and Blomquist — County Segment are linked in that construction of <br />one segment, without the other, would not serve the interests of the City or its residents <br />ATTY/AGR/AMEND.
