REV: 04-07-2023 MI <br />EXHIBIT “A” <br />SCOPE OF SERVICES AND FEE <br />A. Key Assumptions and City’s Responsibilities <br />a. City shall name at least one of its personnel with authority to direct the actions <br />of City in performing the Services (the “Authorized Point(s) of Contact”), which <br />City may change at any time by written notice to Consultant, provided that there <br />is at least one Authorized Point of Contact at all times. The initial Authorized <br />Point of Contact is named in Exhibit “A”. Consultant may rely on the instructions <br />of each Authorized Point of Contact for purchasing decisions, administrative <br />activities, configurations and settings (including security settings), software <br />updating and other account management decisions and actions. <br />b. This Agreement and Consultant’s charges or estimates to perform the Services <br />are based on the following key assumptions and responsibilities: <br />c. City is responsible for the overall management of the City project described in <br />this Agreement and direct communication and co-ordination between <br />Consultant and City. <br />d. City will be responsible for documentation of all business requirements and <br />delivered to Consultant at agreed dates as defined in the overall Project plan. <br />e. Consultant and City will have sufficient resources available to begin project on <br />or about the Start Date described in the Exhibit “A”. <br />f. All Work shall be done remotely. City’s technical personnel assigned to this <br />project will have the technical skills necessary to participate in this project and <br />will be available per the project plan. <br />g. City will make personnel available for facilitated sessions and meetings as <br />required per the project plan. <br />B. Fees: <br />a. The fee for services identified as “lump sum” is flat rate of Eight-Seven <br />Thousand Five Hundred Dollars ($87,500). <br />b. The fee for services identified as “time and material” shall be charged on a time <br />and materials basis not exceed Four Thousand Three Hundred Seventy-Five <br />dollars ($4,375). Time shall be billed at $175 per hour and material costs shall <br />be charged at cost plus10%. <br />c. Consultant may bill for fees in installments after they are incurred by Consultant <br />(e.g., Consultant may opt to bill weekly, monthly, or any increment for any part <br />of “Development – Enhancements for Oracle Financials” if that portion of the <br />service is completed.) <br />d.
