<br />Attachment P <br />REPRESENT A TION LETTER <br /> <br />Certification Pursuant to Water Sales Agreement (the Agreement) between the City and County <br />of San Francisco (San Francisco) and certain wholesale customers in the counties of San Mateo, <br />Santa Clara, and Alameda (the Wholesale Customers) effective July 1; 2009. <br /> <br />Each of the undersigned certifies that: <br /> <br />1. - I have reviewed San Francisco Water Department and Hetch Hetchy <br />Water ~ Power Department Report on the- Calculatiori of the Wholesale Revenue Requirement <br />and Statement of Changes in the Balancing Account (the Statement) for the year ended June 30, <br />200X; <br /> <br />Based on my knowledge, this report and Statement do not contain any untrue <br />statements of a material fact or omit to state a material fact necessary to make the statements <br />made, in light of the circumstances under which such statements were made, not misleading with <br />respect to the period covered by the report; <br /> <br />Based on my knowledge, the Statement and other financial information included <br /> <br /> <br />in the report, fairly presents in all material respects the proper costs incurred and allocated to the <br /> <br /> <br />Wholesale Customers in accordance with the provisions of the Agreement. <br /> <br />The below certifying officers and I are responsible for establishing and - <br /> <br /> <br />maintaining internal control over financial reporting and have: <br /> <br />Designed such internal control over financial reporting, or caused such internal <br />control over financial reporting to be designed under our supervision, to provide reasonable <br />assurance regarding the reliability of financial reporting for purposes of the preparation of the <br />Statement. <br /> <br />Evaluated t~e effectiveness of the allocation procedures to ensure compliance <br />with the terms of the Agreement. <br /> <br />Attachment P, Page 1 <br /> <br />18700571 <br />
