<br />Majeure Event. Notice required by this section shall be given promptly in light of the <br />circumstances, and, in the case of events described in (c), (d) or (e) of the definition of Force <br />Majeure Event only, not later than ten (10) days after the occurrence of the Force Majeure <br />Event. Such notice shall describe the Force Majeure Event, the services impacted by the <br />claimed event, the length of time that the party expects to be prevented from performing, and <br />the steps which the party intends to take to restore its ability to perform. <br /> <br />C. Obli~ation to Restore Ability to Perform. Any suspension of performance by a <br />party pursuant to this section shall be only to the extent, and for a period of no longer duration <br />than, required by the nature of the Force Majeure Event, and the party claiming excuse shall <br />use its best efforts to remedy' its inability to perform as quickly as possible. <br /> <br />8.16 No Third-Party Beneficiaries <br />This Agreement is exclusively for the benefit of the parties and not for the benefit of any <br />other Person. There are no third-party beneficiaries of this Agreement and no person not a <br />party shall have any rights under or interests in this Agreement. <br /> <br />No party may assert a claim for damages on behalf of a person other than itself, <br />including a person that is not a party. <br /> <br />8.17 Good Faith and Fair Dealing <br />San Francisco and the Wholesale Customers each acknowledge their obligation under <br />California law to act in good faith toward, and deal fairly with, each other with respect to this <br />Agreement. <br /> <br />-83- <br /> <br />1840795.8 <br />
